1. INTRODUCTION
1.1 Agreement Overview These Terms and Conditions ("Agreement") govern the legal relationship between Rizzbees S.R.O. ("Rizzbees," "we," "us," or "the Company") and you ("Client," "you," or "your"). By accessing or using any services provided by Rizzbees, including account creation, virtual asset trading, fiat conversion, or staking services, you confirm that you have read, understood, and agreed to be legally bound by this Agreement.
1.2 Services Provided Rizzbees S.R.O. is a virtual asset service provider (VASP) registered in Slovakia. Our services include:
Exchange of virtual assets for fiat currencies and vice versa
Exchange of one virtual asset for another
Custodial wallet services for safekeeping of digital assets
Staking of supported virtual assets on behalf of clients
1.3 Compliance Rizzbees complies with Slovak and EU financial regulations, including AMLD5/6, the General Data Protection Regulation (GDPR), and will align with MiCA once fully in force. Rizzbees is supervised by the Slovak Financial Intelligence Unit (FIU) for AML compliance.
1.4 Updates to Terms We reserve the right to amend these Terms and Conditions at any time. Updates will be posted on Terms and conditions. Continued use of our services constitutes acceptance of the revised terms.
2. ACCOUNT REGISTRATION AND VERIFICATION
2.1 Account Opening All clients must complete KYC/KYB verification before gaining access to services. This includes submission of identity documents, proof of residence, source of funds, and, if applicable, corporate structure documentation.
2.2 Account Eligibility You must be at least 18 years old and not a resident of any restricted jurisdiction. We may refuse or terminate service if you provide false or misleading information.
2.3 Enhanced Due Diligence (EDD) EDD may apply for high-risk clients, large transactions, or politically exposed persons (PEPs).
3. SERVICES AND LIMITATIONS
3.1 Virtual Asset Exchange Clients may use our platform to convert supported fiat and virtual currencies. Market prices, fees, slippage, and liquidity constraints apply.
3.2 Custodial Wallets Rizzbees offers custodial wallet services. Clients retain ownership of their assets; however, Rizzbees has control over private keys as part of the custody arrangement.
3.3 Staking Services Clients may delegate supported assets for staking. Rizzbees will distribute staking rewards net of service fees. Staking is subject to network protocol risks and may involve lock-up periods.
3.4 Service Restrictions We reserve the right to limit access to assets, freeze accounts, delay transactions, or deny service where required by law or for risk mitigation.
4. FEES AND CHARGES
4.1 Trading and Custody Fees Fees are published on our website. Rizzbees may modify fees at any time with 14 days’ notice.
4.2 Staking Fees A percentage of staking rewards may be retained as a service fee.
4.3 Withdrawal Fees Withdrawal fees may apply for both fiat and crypto transactions, depending on network and provider costs.
5. RISKS AND DISCLAIMERS
5.1 No Guarantee of Value Virtual asset markets are highly volatile. Prices may fluctuate rapidly. Past performance does not guarantee future returns.
5.2 Custodial Risk While we implement rigorous security protocols, holding assets with Rizzbees carries risks of loss due to cybersecurity incidents or third-party failures.
5.3 Regulatory Risk Virtual assets may be subject to new regulations that could impact your rights or the availability of certain services.
5.4 No Financial Advice Rizzbees does not provide investment advice or act as a fiduciary. Use of our platform is self-directed.
6. DATA PROTECTION
6.1 GDPR Compliance All client data is processed in accordance with the GDPR. See our Privacy Policy at https://www.rizzbees.com/privacy-policy.
6.2 Rights of Data Subjects Clients have the right to access, correct, erase, restrict, or object to the processing of their data. Requests should be sent to help@rizzbees.com.
7. TERMINATION
7.1 By Client You may terminate your account by written notice to support@rizzbees.com. Termination is effective after the settlement of any outstanding obligations.
7.2 By Company We may suspend or terminate accounts in cases of regulatory violations, fraudulent activity, or breach of terms.
8. LIMITATION OF LIABILITY
8.1 General Limitation To the extent permitted by law, Rizzbees shall not be liable for any indirect, incidental, or consequential damages.
8.2 Maximum Liability Our liability shall not exceed the amount you paid us in the preceding 90 days.
9. GOVERNING LAW
This Agreement is governed by the laws of the Slovak Republic. All disputes shall be submitted to the jurisdiction of Slovak courts unless EU consumer protection rules require otherwise.
